Terms of Service Policy

These terms of service policy constitutes a legal agreement between you and Real Soft
Acceptance; If you are accepting on behalf of a company, you represent and warrant to Real Soft that you have full authority to bind such company.
Prohibited conduct; you will violate this policy if you engage in the following examples of prohibited activities while using our services:

Development Policies

Terms

This includes all software developments including custom software and websites solutions along with their basic maintenance plans to regular software/websites which can be page breaking, page damaging, incomplete page loading or page missing or software issues. It does not include removing or replacing the text from a website/software and replacing it with new text. It does not mean reformatting or re-styling of your website/software. If any such changes required, including updating links and making changes to a sentence or paragraph or replacing text and graphics with text and graphics that are supplied to Real Soft from the client, which will cost according to the rates of Real Soft inc. at that time.

If the client or an agent other than Real Soft attempts updating the client's website/software, time to repair website/software will be assessed at the per page/feature rate, and is not included as part of the updating time. This contract begins upon the date the client signs and submits this contract. Changes requested by the client beyond those limits will be billed at the per page/feature rate, depending on the services required. This rate shall also govern additional work authorized beyond the maximums specified above for such services as general internet orientation education, marketing consulting, web page design, advance HTML editing, modifying product pages/features and databases in an on-line store, and art, photo, graphics services and helping the client learn how to use their own website/software.

Standard Website/Software Development Services

1: Authorization:

The client is engages Real Soft, for the specific project of developing and/or improving a World Wide Website or Software to be installed on the client web space or computer on an Internet Service Provider's (ISP) computer or local computer. The client hereby authorizes Real Soft to access this account/computer, and authorizes the Internet Service Provider to provide Real Soft with "read write execute permissions" for the client's website directory, cgi-bin directory, and any other directories or programs which need to be accessed for this project or the complete computer access in case of software. The client also authorizes Real Soft to publicize their completed website to web search engines, as well as other web directories and indexes.

2: Basic Maintenance:

The client will receive maintenance to existing website/software as per committed. (Includes page breaking, page damaging, incomplete page loading or page missing or software issues) from the date that this agreement is signed. This maintenance option will allow the client to secure its existing website/software on the client's website or computer. The maintenance will begin on the date that this agreement is signed. Any upgrades to the website/software, if required can be provided and will be charged according to the service required. All maintenance that exceed from given maintenance, will be billed according to the requirement. No other parties shall have the right to change or alter the client's website/software other then Real Soft, or the owner(s) of the client's during this maintenance period. If the client or an agent other than Real Sot Inc. attempts updating the client's website/software, time to repair web pages/software will be assessed according to the rate at that time, and is not included as part of the maintenance time.

3: Website/Software Construction/Development and Deposit:

An initial payment representing the first DEPOSIT of no less then 30% of the over all order, shall be paid to Real Soft at the signing of this agreement and at the start of the project, unless Leasing or other payment method is agreed upon by Real Soft and the client. The total estimated website/software development cost may can vary depending upon the website pages/features selection by the client. The agreement shall be accompany by an invoice for the entire creation of the client's website/software submitted by Real Soft no later then 10 days of signing.

Real Soft shall design client's website/software with:

a: Visit/e-mail/phone consultation (Up to 2 hours total general software requirements, internet orientation education, marketing strategy, web design consultation, and helping the client learn to use their own website/software. Telephone long distance charges are in addition to package rates quoted. Additional education and consultation is billed at an hourly rate)
b: Words of Text: Words of text supplied by the client (As much as words required but it may be subject to additional fees, especially if they require a great deal of formatting.)
c: Links: Links to external pages or other websites, up to as much as the client wants.
d: Custom Graphics Package: Masthead graphic on first page (simple custom graphic incorporating company logo[Company Logo must be supplied]). Top-of-page graphic for all other pages in your website. Including colorful lines bullets, colored and textured background.
e: Photos and other Graphics: Photos and other misc. graphic images supplied by the client. (All images that need to be changed, altered, or reformatted by Real Soft, can be as much as the client wants)
f: Setup and Installation: Installation of website/software on the client's ISP host computer or server or local computer of their choice.
g: Maintenance and Upgrades: Minor maintenance to the client's website for specified duration( Minor updates page breaking, page damaging, incomplete page loading or page missing or software issues)
h: Search Engines: If the client needs website publicity, site promotional plans can be offered to it according to the needs and will cost according to the selected plans.
i: E-mail Responses: E-mail response link on each website/software to any e-mail address that the client designates.
j: Forms: Feedback or Guest book form (Basic Dynamic page included. Input to the dynamic page will return an output page. If more than one output page required, it will cost according to the requirements. Extra charges may be incurred if the client's Internet Service Provider does not use a Unix operating system or PHP)
k: Site Navigation: One Image Map for internal navigation (Not generally included in the package price)

4. Consultant's Warranties

Real Soft represents as follows:

a: That Real Soft will create and use Artwork, Clipart, Programming and website pages or Software features other than the client's logo and except for artwork and coding supplied by the client;
b: That Real Soft has the full and unrestricted right to make the agreement;
c: That the artwork will not infringe upon any statutory copyright;
d: That it contains no matter contrary to the law;
e: That Real Soft has the right to use the likeness of all the persons depicted in the artwork where the Real Soft has supplied the likeness;
f: That Real Soft will indemnify the client and hold the client harmless from any and all claims arising therefrom, including legal fees;

5. The Client Warranties

The client represents as follows:

a: That all artwork, design, logos, likeness, or photos or persons as supplied by the client are with proper permission; b: That any artwork supplied by the client does not infringe on any statutory right; c: That the client will indemnify and hold harmless Real Soft from any and all claims arising therefrom, including legal fees.

6. Related Development and Maintenance Issues and Standard Terms

a: Changes to, and Submitting Text/Requirements: Please send us your final text/requirement.
Time required to make substantive changes to client-submitted text after the website/software have been constructed will have an additional fee, billed at the per page/feature rate and is not part of the maintenance terms. All text that is to be place onto The client's website/software must be submitted to Real Soft on Floppy disk, Zip Disk, Jazz Disk, CD-Rom or Emailed to Real Soft, or made available to Real Soft by means of the Internet or world wide web. Large text areas for website that need a considerable amount of formatting is billed at an hourly rate and is not part of the Maintenance plan.

b: Changes to Graphics and Images: All images and graphics that are to be placed on or changed on the client's website/software must be submitted to Real Soft on Floppy disk, Zip Disk, Jazz Disk, CD-Rom, Emailed to Real Soft, or made available to Real Soft by means of the internet or world wide web. All images and graphics that will be used on the client's website must be in either a *.jpg or *.gif format. Any image or graphic that needs to be reformatted or resized or altered in anyway to fit on the client's web pages, will be billed at an hourly rate. Real Soft can and will add standard basic clipart or icons from our collection at the clients request for free. However, this does not mean that we will create a custom graphic for free or spend hours reformatting your graphics. These changes and creations of graphics are not part of the development and maintenance terms, and are billed at per page rate.

c: Sounds or Music:
All sound and music to be used on the client's website/software must be submitted to Real Soft in the appropriate format to be used on the client's website/software. Any changes, reformatting or converting of a sound or music file, by Real Soft will be billed at per page rate. (i.e. if you have a *.wav file and wish to change it to a *.au file.). All Sound and music files must be submitted to Real Soft by the client on Floppy disk, Zip Disk, Jazz Disk, CD-Rom, Emailed to Real Soft, or made available to Real Soft by means of the Internet or world wide web.

d: Plug-ins:
All plug-ins that the client wishes to use for their website/software are included in this development and maintenance contract. Provided that they supply the support files and the plug-in to be installed. ( This would include giving Real Soft the manufacturer URL's to download the plug-ins or the client supplying it to us. All additional manufacturer fees would be billed to the client). Any changes to the files or support files for the plug-ins must be submitted to Real Soft by the client on Floppy disk, Zip Disk, Jazz Disk, CD-Rom, Emailed to Real Soft, or made available to Real Soft by means of the Internet or world wide web. Any additional coding or upgrading to the plug-ins that requires reformatting, new coding, or the creation of files are billed at per page rate. If plug-ins are to be upgraded due to a newer version by the manufacturer, and requires no additional changes by Real Soft, there is no additional charges for the upgrade. This does not include, reconfiguring; servers, setting up mime type on server, or an extended installation that requires a reformatting of the user end files or recoding of the web page.
Plug-in NOTE: Setting up and maintaining plug-ins, can be very easy or very difficult, depending on the plug-in in question and servers being used. Most plug-ins are easy to maintain and upgrade and Real Soft would not charge for most changes. However, Real Soft reserves the right to charge per page rate for updating and maintaining plug-ins on client's web pages and website, at Real Soft's own discretion.

e: Custom or Advance Coding:
Real Soft will maintain any custom coding or custom scripts that the client's supplies for their website or software. This would include, but not limited to: Java Script, VB Script, JAVA, CGI Scripts, VRML, ASP/ASP.NET scripts or advance HTML coding (DHTML, CSS, or Style Sheets.). If the client supplies the scripts to Real Soft, then Real Soft assumes that these scripts and codes are ready to be setup, installed and will run properly on the client's website/software. If Real Soft has to remove the scripts to get the client's website/software working, recode them, or requires reformatting of the website/software. The client will be billed per page/feature rate. If Real Soft has to recode any existing script or supply new scripts for the client's website/software, the client will be billed per page/feature rate.
If Real Soft supplies the scripts there will be a fee of per page/feature developing and setting them up on the client's website/software. Once the scripts are up and running on the client's website/software, there would be no additional charges to maintain them on the client's website/software, provided that there are no additional changes to be made to the scripts.

f: Advertising and Search Engines:
Upon payment of all fees hereinabove set forth, the client shall have the nonexclusive right to reproduce the completed artwork as interior illustrations, appear on merchandise, form a jacket of any packaging or software, on any book or manual thereof which it may print or publish for the packaging and instruction of the merchandise which it sells or distributes for the life of this contract. The client can setup on any search engines, (Such as; Yahoo, Google., Bing, InfoSeek, Excite, Altervista, Yellow Book, etc.) at an extra cost. Real Soft does not take responsibility for the placement of the client's website or software by these search engines. Real Soft shall have the right to add the client's website or software to it's clients section on the Real Soft websites, and to show any or all parts of the client's website/software as an example of Real Soft's work, whether by directing people to the client's website/software, or by showing the client's website/software on remote computers or in Real Soft's portfolio. Real Soft reserves the right to place an icon and link that will redirect all visitors back to the Real Soft website, on all web pages and websites/software that it creates and maintains for the client.

The client shall have the right to show its website or software to the public on the World Wide Web or local computer, or internet/intranet. The client shall also have the right to print the website/software and use its likeness in any print, video, software or multimedia marketing. Provided that the client does not make any changes or modifications to Real Soft's work. The client shall notify Real Soft of any mass distribution of the likeness of its website or software that Real Soft has worked on.

g: Additions:
The client will receive at no extra charge, changes to text or graphics on their website/software for the duration of the contract (within the limits stated in the contract), with all terms and conditions applying from the date of signing of this contract. Provided that the client provides the text or graphics to Real Soft All other changes to graphics, text, coding & styles on the client website will be billed per page/feature rate. The client will be charged per page/feature and for any additional page(s) that are added to the client's website/software during the life period of this contract. The client will be charged for custom coding in the same rate. The addition of any custom created graphics, and images by Real Soft, will be billed at per page/feature rate.

h: Uploading and Installation:
Real Soft will upload and install the changes to all of the client's website/software on the client's server/computer (Server fees are included with per page/feature rate). This charge is waved if the client is using Real Soft hosting servers.

i: Non-disclosure and Security:
Real Soft takes the privacy and security of its customers and it self very seriously. To that end we are constantly improving security, monitoring our servers and staying abreast of new developments on the Internet. The client shall have all its information that is obtained by Real Soft, held in the strictest confidences. Real Soft shall not disclose or reveal any information obtained from the client to any individual or other entity for the life of this contract or until it has been released to the public by the client. All passwords, high security issues, ways of operation, business practices and corporate secrets of the client, that is given to Real Soft, shall remain in the highest confidence and not reveled or given out by Real Soft The client shall also hold all information obtained from Real Soft in the highest confidence. All business secrets, passwords, and high security issues, obtained by the client about the way Real Soft operates shall not be given out or revealed to anyone. Violation of these security issues can result in penalty of the law.

j: Copyrights and Ownership:
Any image, graphics, sound, music, custom coding or scripts, text and any other material supplied by the client to Real Soft will remain the property of its owner, whether it's the client's or a 3rd party. Real Soft assumes, that any items or materials supplied by the client, for its website/software, are legally and lawfully obtained by the client. The client shall assume all the legal rights and responsibilities of obtaining any materials that it supplies to Real Soft for its website/software. The client shall be held repressible for any unlawfully obtain materials and related fees, it supplies to Real Soft for its website/software. This would include, but not limited to; legal fees, court fees, lawyer fees, copyright violation fees, and all fees that would apply from a copyright infringement lawsuit. Real Soft shall not reuse or modify any image, graphics, sound, music, custom coding or scripts, text and any other material supplied by the client, for any other website/software that Real Soft works on, without approval from the client.

Any image, graphics, sound, music, custom coding or scripts, text and any other material supplied by Real Soft shall remain the property of Real Soft Real Soft shall give the right to the client, to have any of its copyright material used for the client's website/software for the length of the contract. If the contract expires and the client does not retain Real Soft to remain as their website/software maintenance company. Real Soft has the right to remove all and any, image, graphics, sound, music, custom coding or scripts, text and any other material that was supplied by Real Soft during the length of this contract. Real Soft shall assume all rights and legal copyrights of any items supplied to the client. Real Soft reserves the right to use the same images, likeness of, or modified versions of any image, graphics, sound, music, custom coding or scripts, text and any other material supplied by Real Soft for any other website/software that Real Soft is working or will work on. All Real Soft logo's, designs, images, and trademarks are copyright Real Soft

k: ISP and Server Charges:
The client understands and realizes that this contract does not provide ISP (Internet Service Provider) services or a Web Hosting server. That the client must obtain their own Internet connection and secure its own web space on a Web Server. That the charges for an ISP and Web Server are not included in the prices listed here for website development. The client will also provide Real Soft the location of the ISP or web Server that will be used for the maintenance of its website or web pages. By providing, any passwords, codes, URLs, directories, FTP addresses, user names or any other information that is directly involved or needed in order for Real Soft performing it's obligations to the client. The client or Real Soft shall also inform the client's ISP or web host of the fact that Real Soft is maintaining the client's website or software, and that the ISP shall allow Real Soft to work on and make changes on their servers or computers as needed.
NOTE: Real Soft offers a full range of Web Servers and ISP Services for its clients.

l: Understanding of Contract and Terms:
The client understands and agrees with these terms that are listed. The client, by hiring Real Soft and going into the agreement, acknowledges that he/she has read this contract and will be bound to the terms of it. The client acknowledges that Real Soft has the right to make this contract, and to terminate it if the terms here as above are broken by the client. Real Soft will not give refunds or exchanges for any terminated or canceled contracts. If the contract is terminated for any reason, the client shall be billed for work not yet paid for, that was done by Real Soft

m: Governing Law:
This agreement shall be binding upon the heirs and assigns of the parties and shall be governed by and interpreted according to the laws of the State of United Kingdom. Any legal action brought with regard to this contract shall be brought only in United Kingdom, in the State or Federal Court of appropriate jurisdiction within the State of United Kingdom.

n. Attorneys' Fees:
In the event of arbitration, suit or action (collectively ''Action'') instituted to enforce this Agreement, or with respect to this Agreement or any documents described in this Agreement, the prevailing party shall be reimbursed by the other party for any and all costs and expenses incurred in connection with the Action, including, but not limited to, reasonable attorneys' fees at any hearing or trial and on appeal.

o: Headings:
Headings used in the agreement are for convenience only and shall not be used to interpret or construe its provisions.

p: Notices:
All notices or other documents under the agreement shall be in writing and delivered personally or fax received, or mailed by certified mail, postage prepaid, addressed to Real Soft and the client at their last known addresses. Any extras that are added on by the client, will be billed by per page/feature rate. All additions must be approved before, by the client and submitted to Real Soft in writing and delivered personally or fax received, or mailed by certified mail, postage prepaid, addressed to Real Soft

q: Expenses:
Real Soft reserves the right to charge the client all and any additional fees or expenses which might occur from the creation, maintenance or development of the client's website/software. In which Real Soft incurs a cost or bill from an outside agency, organization, company or any other entity. This would include, but is not limited to: Travel Expenses, Long Distance Phone Calls, Obtaining specific Programs or Plug-ins, Creating and producing all Printed materials (such as; brochures, manuals, posters, etc.), Hiring outside contractors, Obtaining Specific hardware or computer equipment, Obtaining specific licenses or copyrights, Obtaining specific equipment, All reproduction cost of the client's website/software (such as; Reproducing on Floppy disks, Zip disks, CD-ROMs, Jazz Disks, or any other portable computer medium.), Obtaining an ISP or Web Space for the client. Real Soft shall inform the client and receive written approval, by the client. Before beginning any development or obtaining any services, equipment or software, that would require the need of an added Expense or Fee to the client.

Mail Policies

SPAM, Junk E-mail or UCE is prohibited. Spam, Junk-mail and UCE are defined as: the sending of the same, or substantially similar, unsolicited electronic mail messages, whether commercial or not, to more than one recipient.

A message is considered unsolicited if it is sent to a recipient who has not requested or invited the message. This prohibition extends to the sending of unsolicited mass mailings from another service, which in any way implicates the use of Real Soft whether or not the message actually originated from our network.

Other restrictions include; using our network for the receipt of replies to unsolicited mass email (spam) sent from a third-party network or the forgery of email headers is prohibited.

Mass Mailings

Sending mass unsolicited email is considered spam. Unsolicited email is defined as email sent to a recipient who has not double-opted in to mailings.

Senders of mass mailings must maintain complete and accurate records of all opt-ins, including the email and its headers if applicable, and provide such records to Real Soft upon request. If positive and verifiable proof of opt-in cannot be provided, complaints from recipients of the mailing are considered proof they did not subscribe and the mailing is unsolicited.

Our mass mailing rules apply to mailing lists, list servers, or mailing services contracted for by Customer. The policy is stated as follows: An acceptable mailing list will be focused at a small targeted audience that has voluntarily signed up for e-mail information using a double opt-in process or that has made their e-mail address available to you for distribution of information. The list must also allow for automatic removal by all end users with non-distribution in the future.

Facilitating a Violation of Policy

Advertising, transmitting, or otherwise making available any software, program, product, or service that is designed to violate this Policy, which includes the facilitation of the means to spam, initiation of pinging, flooding, mail-bombing, denial of service attacks and piracy of software.

Infringing Intellectual Property Rights

Engaging in any activity that;

Infringes or misappropriates the intellectual property rights of others, including copyrights, trademarks, service marks, trade secrets, software piracy, and patents held by individuals, corporations, or other entities;

Violates privacy, publicity, or other personal rights of others.

Obscene Speech or Materials

Using Real Soft's services to advertise, transmit, store, post, display, or otherwise make available child pornography. Real Soft shall notify law enforcement agencies when it becomes aware of the presence of child pornography on or being transmitted through our services.

Promoting Violence or Injury

Advocating, promoting or providing assistance in carrying out violence or any other unlawful activity against any persons, animals or any governments, businesses or other entities;

Describing or displaying a weapon, or parts of weapons, or manuals for assembling any weapon, including but not limited to firearms, ammunition, explosives, grenades, bombs and caustic or other dangerous substances contrary to any laws;

Promoting products or services that involve a significant risk of death or injury to any persons, or damage to business or other entities or property contrary to any laws.

Defamatory or Abusive Language

Using Real Soft's services as a means to transmit or post defamatory, harassing, abusive, or threatening language.

Forging of Headers and Masking of IP Addresses

Forging or misrepresenting message headers or masking IP Addresses, whether in whole or in part, to mask the originator of the message or other Internet activity.

Illegal or Unauthorized Access to Computers or Networks

Accessing illegally or without authorization computers, accounts, or networks belonging to Real Soft or another party, or attempting to penetrate security measures of another individual's system (often known as "hacking");

Engaging in any activity that might be used as a precursor to an attempted system penetration (i.e. port scan, stealth scan, or other information gathering activity).

Distribution of Internet Viruses, Worms, Trojan Horses, or Other Destructive Activities

Distributing information regarding the creation of and sending Internet viruses, worms, Trojan horses, pinging, flooding, mail-bombing, or denial of service attacks;

Engaging in activities that disrupt the use of or interfere with the ability of others to effectively use the network or any connected network, system, service, or equipment.

Misuse of Account Features

Operating any service which makes an account feature available to third parties for any use other than normal access to that account's website is forbidden;

Operating any service which enables or assists anonymous or abusive behavior by third parties is forbidden;

Operating any service which affects the stability or reliability of any Real Soft server or network component, impacts other users or the company negatively, or degrades quality of service is forbidden.

All account features and services are to be used solely in order to develop and implement the website and web pages associated with that Real Soft account. Resellers may make reasonable use of account features shared between multiple accounts they are being billed for.

Under no circumstance may our server and network resources be used as a means to provide free services to the public. Resellers may make reasonable use of the resources for their private endeavors and business related activity.

Export Control Violations

Exporting encryption software over the Internet or otherwise, to points outside Canada or the United States.

Illegal Activities

Engaging in activities that are determined to be illegal, including advertising, transmitting, or otherwise making available ponzi schemes, pyramid schemes, fraudulently charging credit cards, and pirating software.

Other Activities;

Engaging in any other activity, whether lawful or unlawful, that Real Soft in its sole discretion determines to be harmful to customers, operations, reputation, goodwill or customer relations.

Consequences For Engaging in Prohibited Conduct

In the event that you engage in any of the activities above, and as determined by Real Soft in its sole discretion to be abusive or disruptive, Real Soft may take any one or more of the following actions in response to abuse or complaints;

Issue warnings: written or verbal.
Suspend the account and access.
Terminate the account and access.
Bring legal action to enjoin violations and/or to collect damages, if any, caused by violations.

Fees, Payments & Billing Policies

The fees apply to the maintenance, upgrading, creation, designing and programming of the website/software as well as approved adaptations, revisions, and changes made to it by Real Soft All specialized original artwork, custom programming and custom scripts are billed at per page/feature rate.

Billing for all services that are above and beyond the terms listed in this contract that are billed at per page rate, shall be submitted to the client by Real Soft, according to the payment modes. Payments shall be made within 10 days of submission (or by the terms outlined in the final invoice of the overall order) of invoice as hereinabove set forth and Real Soft shall be entitled to reasonable legal fees in the event the services of an attorney are necessary for collection. Checks, Money Orders, and Wire Transfers must be made out to Real Soft Bank account and routing information available upon request. The client will pay all appropriate taxes that would apply State and Federal included. Real Soft reserves the right to change prices of additional custom coding, and graphics development at any time. All prices and maintenance set forth in this agreement shall not be subject to change.

As consideration for the services you have selected, you agree to pay the applicable service fees. All fees payable hereunder are non-refundable except those fees covered by the "30 Day Money Back Guarantee" where advertised on the Real Soft's website. As further consideration for the services, you agree to;

Provide certain current, complete and accurate information about you as required by the registration process and maintain and update this information as needed to keep it current, complete and accurate.

Fees & Payments

All fees are payable in local currency. All payments are due on your account's bill day;

The following credit cards are accepted: Visa and Master Card. By using your credit or debit card information, you authorize Real Soft to charge the card for any fees due on your account. You will be responsible for all charges listed in your account until you cancel your account in accordance with our cancellation policy;

All charges made to your credit card will be posted from "Real Soft" on your credit card statements;

Your "Bill Day" is the day of the month you created your first Real Soft account. Your account will be billed on this day every month, quarter or year, depending on the payment plan you have selected; charges apply accordingly.

Cancellation Policy

Services will automatically renew until a service is cancelled. If you do not wish to renew your Monthly or Annual Service agreement you must cancel your account by sending an email to our Billing Department (billing@realsoftonline.com), your control panel username and password must be included;

A cancellation refers to the removal of user materials from our systems and the deactivation of services. This applies to all of the web services including web hosting, email hosting, database hosting, other hosting services, orkut/facebook//hi5/linkedin/blog accounts etc. You will be required to pay any outstanding charges owed before any cancellation will take place. Please be aware that there are no pro-rated refunds after the first 30 days of service regardless of billing cycle;

Domain Name Registrations CANNOT be cancelled. As the purchaser of the Domain Name you are the Domain Name's owner until the term of the Domain Name's registration has expired;

30 Days Money Back

Most services offered by Real Soft carry a 30 Day Money Back policy. If you are not completely satisfied with our services, you will receive a full refund for the services fees during the first 30 days after the service was added.

Accounts with violations of our policies will not receive a refund under any circumstance.

Ownership Info
